Crowdfunding Terms

1. Nature of the campaign
Prompt Studio crowdfunding is a non-equity support campaign operated by Magzin LLC. A contribution does not purchase shares, ownership, voting rights, profit participation, debt, or any other security.
2. Contributions and Stripe
Contributions are processed by Stripe in USD. The amount, currency and payment status confirmed by Stripe control the payment record. Prompt Studio may reject or refund transactions affected by fraud, chargebacks, sanctions, payment errors or legal restrictions.
3. Founder Credits
Founder Credits are internal, non-cash Prompt Studio credits intended for eligible product usage. They are not legal tender, a bank balance, stored monetary value, cryptocurrency, investment, security, transferable asset or claim against Magzin LLC. They cannot be redeemed for cash unless required by applicable law.
4. Reward calculation
Displayed Founder Credit amounts are calculated under the published campaign tiers and the same Prompt Credit economics used throughout Prompt Studio. The official schedule is: $10 → 1,050, $25 → 2,675, $50 → 5,500, $100 → 11,200, $250 → 28,750, $500 → 58,500, $1,000 → 120,000 Prompt Credits. Custom contribution amounts use the same formula and the bonus percentage of the highest tier reached. Estimates of images, videos, websites or other generations are illustrative category maximums based on current Prompt Credit prices and are not a promise of a fixed number of generations.
5. Campaign duration and credit availability
The crowdfunding campaign runs from October 2, 2026 through January 2, 2027, which is the last fundraising day. Payment alone does not grant immediate access to Founder Credits. Eligibility begins after the campaign ends, provided Magzin LLC has received the applicable payment and the backer/payment has been verified. Reaching 100% of the campaign funding goal is not required. Eligible contributors will retain the right to receive the Founder Credits corresponding to their completed contribution even if the campaign closes below its stated goal. The operational target is to enable eligible Founder Credits within 14 days after the campaign ends and payment is confirmed.
6. Campaign changes and stretch goals
Roadmap items and stretch goals describe intended product direction, not guaranteed delivery dates or additional Founder Credits. Stretch goals do not automatically increase a backer reward. Product scope, providers, models and implementation may change as the platform evolves.
7. Refunds and failed campaigns
Because Founder Credits remain available to eligible contributors after the campaign ends even when the campaign does not reach 100% of its stated goal, closing below the goal does not by itself trigger a refund. Refund eligibility otherwise depends on the payment channel, applicable Prompt Studio refund rules and mandatory consumer law. Chargebacks or refunded contributions may cancel the related Founder Credit eligibility.
8. Risks and availability
Crowdfunding supports ongoing product development and involves execution risk. Features, providers, costs, timelines and availability can change. Prompt Studio does not guarantee that every planned feature, model, integration or stretch goal will be delivered exactly as described.
9. Acceptable use and account
Founder Credits remain subject to Prompt Studio Terms of Use, acceptable-use rules, account security requirements and product restrictions. Abuse, fraud or prohibited activity may result in suspension, cancellation or other remedies permitted by the Terms and applicable law.
10. Privacy
Personal data related to accounts, payments and campaign administration is handled under the Prompt Studio Privacy Policy and applicable law. Stripe processes payment information under its own terms and privacy practices.
